Ted A. Dillman is an associate in the Los Angeles office of Latham & Watkins. His practice focuses on insolvency, finance and corporate law.
Mr. Dillman actively represents companies insolvency, financial restructuring and transactions, acquisitions through 363 sales and general corporate matters. He advises both public and private companies, secured creditors (first and second lien holders), hedge funds, private equity funds, creditors' committees and boards of directors. He has negotiated resolutions of disputes with creditors, vendors and bankruptcy trustees. Mr. Dillman's engagements include:
- Advising an international paper conglomerate in the restructuring of its financial obligations (<$500 million);
- Representing a national media company in connection with its successful reorganization and trade creditor relations (<$1 billion);
- Structuring bankruptcy remote vehicles to secure various obligations;
- Representing the secured lender to the Los Angeles Marriott Hotel ($97 million) in obtaining relief from the automatic stay to foreclose on the property;
- Representing the secured lender to the San Jose Holiday Inn ($25 million) in negotiations with the hotel's equity holders and obtaining relief from stay;
- Representing the secured lender in a incomplete real estate development project ($40 million);
- Strict foreclosure on intellectual property assets for a secured creditor ($10 million);
- Advising the Assignee in several California assignments for the benefit of creditors, relating to intellectual property and other assets;
- Representing an AmLaw 100 law firm and other law firms in their wind-down efforts;
- Advising a healthcare company in its bid to acquire key intellectual property assets from a competitor through a 363 sale;
- Advising companies on intellectual property issues and contractual issues in bankruptcy and restructuring transactions;
- Advising boards of directors and officers on their duties and obligations in bankruptcy and structuring transactions to mitigate insolvency risks; and
- Representing creditors in other real estate development projects in Southern California.
Mr. Dillman has also advised clients on general finance and corporate matters, and organized limited liability companies and corporations for clients. He has successfully formed a California non-profit corporation (providing daycare to impoverished children in Buenos Aires) and helped it obtain federal and state tax exempt status as a public charity.
While in law school, Mr. Dillman was a founding member of the University of Southern California Law School's Small Business Clinic where he advised clients on entity selection, formation, governance and ongoing compliance. He has also presented on entity selection to the Los Angeles chapter of SCORE. He was also a member of the Southern California Law Review, a teaching assistant to Professor Edward McCaffery, and a grader in the Real Estate and Real Estate Finance courses for Professor George Lefcoe.
