Hugh Steven Wilson

Steve Wilson retired from the partnership in December 2004. Mr. Wilson's practice focused in the field of mergers and acquisitions. He is the former Co-Head of Latham & Watkins' Global Mergers and Acquisitions Practice Group, and the former Chairman of the national Litigation Department and the Mergers and Acquisitions Litigation Practice Group.

In addition to representing issuers, directors and financial advisors in connection with over 100 class action and derivative litigations, Mr. Wilson has represented bidders and targets in hostile tender offers and leverage buyout transactions. He has worked with companies and insurgents in proxy contests and consent solicitations and frequently advises boards of directors and special committees in connection with their consideration of solicited and unsolicited offers. Mr. Wilson has been involved in going private transactions, stock mergers and other business combinations, as well as in connection with the design and adoption of shareholder rights plans and other measures to protect shareholders from abusive takeover tactics.
