Robert A. Zuccaro, based in New York, retired from the partnership in September 2013. Mr. Zuccaro was a member of the Corporate Department and the Capital Markets, Emerging Companies, Public Company Representation and Restructuring & Special Situations Practices.

Mr. Zuccaro has significant experience in capital markets, securities law and general corporate law matters. He advised issuers and underwriters in US and international capital market transactions. He handled securities offerings for corporate and investment banking clients including offerings of equity securities, high yield debt securities, investment grade securities and convertible securities in SEC registered, Rule 144A, Regulation S and private placement transactions.

He also handled debt tender and exchange offers, consent solicitations, and the corporate and securities law aspects of both in and out of court restructuring transactions.

Mr. Zuccaro represented investment banks including Barclays Capital, Credit Suisse, JP Morgan and UBS among others. He represented companies and led transactions in industries such as business services, communications, energy, electricity, life sciences, media, retailing, technology and transportation. He also represented two well-known Canadian companies, TransAlta Corporation and Postmedia Network Canada Corp., in their US securities law matters. He served for three years as a member of the Committee on Securities Regulation of the Association of the Bar of the City of New York.
