PROFILE

Pamela C. Kellet represents lenders and borrowers in complex syndicated finance matters, with a particular focus on oil and gas transactions and acquisition financings. 

Pamela combines her deep technical skill set across a full spectrum of finance, acquisition, and divestiture transactions with her commercial approach to advise:

  • Global financial institutions
  • Energy companies
  • Private equity funds 
  • Hedge funds

She works closely with colleagues in the firm’s New York office on sponsor finance transactions, drawing on her sophisticated understanding of both the New York and Houston markets.

A recognized leader at the firm, Pamela is a member of the Women Enriching Business (WEB) Committee and previously served on the Legal Professional & Paralegal Committee.

Oil and Gas

  • Barclays Bank on a US$450 million term loan and revolving credit facility for Centurion Pipeline Company
  • W&T Offshore on a US$215 million asset-backed securitization with Munich Re 
  • Jefferies Finance on a revolving credit facility for Medallion Midland Acquisition 
  • Caerus Oil and Gas on a US$565 million asset-backed securitization
  • Goldman Sachs, as initial purchasers, on an offering of US$550 million of 8.5% senior secured second lien notes 
  • Chambers Energy Management on an US$850 million acquisition financing for Mach Natural Resources, an upstream oil and gas company focused on acquiring, developing, and producing oil, natural gas, and NGL reserve

Leveraged Finance

  • Morgan Stanley on a US$276 million term loan facility for SNR Wireless Management
  • Macquarie Capital (USA) on a term loan and revolving credit for Wedgewood Village Pharmacy
  • Consolidated Communications, a provider of fiber communications solutions, on its US$3.1 billion take-private sale to Searchlight Capital Partners and British Columbia Investment Management Corporation

Energy and Infrastructure

  • Energy Transfer Partners, as borrower, on a US$2.5 billion revolving credit facility
