Marcus Lee represents clients doing business in Asia in public and private mergers and acquisitions, as well as issuers and underwriters in a range of capital markets matters.
Marcus represents private equity firms and their portfolio companies, as well as emerging companies on:
- Mergers and acquisitions
- Capital markets transactions, including IPOs
- Venture capital financings
- General corporate matters and compliance issues
As a versatile and commercially minded lawyer, he advises clients at all levels of the capital structure. Marcus draws on particular experience handling transactions in Southeast Asia jurisdictions and Asia outbound transactions.

Mergers & Acquisitions
- Baring Private Equity Asia on its disposal of Interplex Holdings, a global manufacturing business, to funds managed by the Blackstone group
- Cebu Air in its US$250 million investment in the form of convertible bonds from the International Finance Corporation, the IFC Emerging Asia Fund, LP, and Indigo Philippines LLC (an affiliate of Indigo Partners LLC)
- Global Power Synergy Public Company, a subsidiary of PTT Public Company, on the acquisition of a 41.6% interest in Avaada, an India-based company engaged in developing and operating solar and wind power projects
- Golden Energy and Resources Limited (GEAR), an international resources company, on its:
- Concurrent business segregation and privatization of its existing energy coal business, conducted through its Indonesian listed subsidiary PT Golden Energy Mines Tbk, from its metallurgical coal and other businesses
- A$67.8 million acquisition of a 10% stake on Westgold Resources, an Australia-based company that explores and develops gold properties
- Consortium arrangements and acquisition of the Ravenswood gold mine from Carpentria Gold
- Innobic (Asia) Company Limited, a wholly owned life science arm of PTT Public Company Limited, in its investment as part of a consortium in Alvogen Emerging Market Holdings Limited
- Partners Group in its acquisition of SPi Global, a Philippines-based provider of outsourced services to education, science, technical, and medical research publishers
- ST Engineering, a subsidiary of Temasek, on its:
- Topping bid proposal to acquire all of the shares of Cubic Corporation, a NYSE-listed company, with transportation and defense businesses
- US$2.68 billion acquisition of Transcore, a transaction intended to accelerate ST Engineering’s Smart City growth and position it as a market leader in Smart Mobility
- United Engineers Limited in the US$354 million sale of its 60% stake in Multi-Fineline Electronix, Inc. to Suzhou Dongshan Precision Manufacturing Co., Ltd., by way of a merger between Dragon Electronix Merger sub Inc. and MFLEX

- Polaris Partners on its seed investment in Sunbird Bio, a diagnostics platform developer
- Tencent in its Series A financing into MX Media, a service provider of OTT Video Aggregation and an offline media player through a mobile application under the name MX Player
