PROFILE
Justin T. Stolte is Global Chair of Latham’s Energy & Infrastructure Group and a partner in its Houston and New York offices. His practice focuses on strategic transactions involving energy and infrastructure businesses, with an emphasis on M&A and joint ventures.
Justin is consistently recognized as a top-tier practitioner in energy and infrastructure, including by The Best Lawyers in America (2021-2024), Chambers USA, America’s Leading Lawyers for Business (2019-2025), ILFR (2023-2024), and The Legal 500 US (2018-2024). He was also named an Energy MVP by Law360 in 2022 and has garnered recognition by several other industry-leading publications, including American City Business Journal, Hart Energy, Houston Business Journal, Lawdragon, and Texas Monthly.
Justin previously worked in business development, commercial, and engineering roles at two global energy and infrastructure companies, where he led the acquisition, development, and divestiture of several multi-billion-dollar infrastructure projects. Justin has led Latham’s Energy & Infrastructure Group since its inception, a group including 675+ lawyers that is consistently recognized as one of the elite energy and infrastructure practices in the world.
EXPERIENCE
Justin’s representative experience at Latham includes:
- ArcLight Capital Partners in its US$2.2+ billion acquisition of a combined 66% interest in Gulf Coast Express Pipeline LLC, which owns a 447.5-mile natural gas pipeline located in Texas, through separate transactions with Phillips 66 (pending), Kinetik Energy, and Targa Resources
- INEOS Energy in its acquisition of the US Gulf of Mexico business of CNOOC Energy Holdings U.S.A. Inc., a subsidiary of CNOOC International Limited (pending)
- Kayne Anderson, through its portfolio company FourPoint Resources, LLC, in its US$2.0 billion acquisition of Uinta Basin Assets from Ovintiv Inc. (pending)
- MidOcean Energy, a company managed by EIG Partners, in its acquisition of a combined 35% interest in Peru LNG, which owns and operates a 4.45 Mtpa LNG project located in Peru, through separate transactions with Hunt and SK Earthon (recognized as 2024 Deal of the Year by IJGlobal)
- ExxonMobil in its sale of a 35% interest in the Baytown Hydrogen Facility, the world’s largest low-carbon hydrogen project, to ADNOC
- Woodside Energy in its US$2.35 billion acquisition of OCI Clean Ammonia Holding B.V., including its lower carbon ammonia project located in Texas, from OCI
- Talos Energy in its sale of Talos Low Carbon Solutions LLC, a CCUS infrastructure business, to TotalEnergies E&P USA, Inc.
- EnCap Investments, through its portfolio company Enduring Resources, in US$5.5+ billion worth of acquisitions and divestitures in the Eagle Ford, Permian Basin, and San Juan Basin

- AB CarVal in its US$700 million acquisition of Pergerine Energy, an integrated multi-technology clean energy platform with a focus on utility-scale energy storage, from its private shareholders
- Ara Partners in its acquisition of Vacuumschmelze, a leading infrastructure producer of advanced magnetic materials and the largest producer of rare earth permanent magnets in the Western Hemisphere, from Apollo
- Wren House in its acquisition of an equity stake in Seacube Container Leasing Ltd., a global shipping container business, from OTPPB
