PROFILE
Posit Laohaphan is the Managing Partner of Latham's Asia offices and the head of the firm’s Structured Equity and Finance Practice in Asia. He also leads Latham’s Thailand Practice.
Posit advises clients across Asia on a range of investment and financing matters in the public and private markets, covering equity-linked capital markets products, private credit, structured equity and finance, and OTC derivatives. He helps clients on:
- Structured capital markets products, such as equity-linked securities
- OTC equity derivatives
- Structured lending products, such as margin loans and fund financings
- Direct lending and private capital transactions
- Structured finance
- Workouts and restructuring of financing transactions
- General corporate and capital markets transactions
In addition to his regional APAC role, Posit maintains a unique connection to the Thai market. He speaks Thai fluently, understands the Thai market, and draws on more than two decades of international legal experience, so is exceptionally positioned to assist clients. He represents Thai corporates, global financial institutions, private equity and credit funds, sponsors, and emerging companies on a full range of complex, cross-border matters with a connection to Thailand, including:
- Initial public offerings (IPOs) on the Stock Exchange of Thailand by Thai issuers
- Offerings of debt, equity-linked, credit-linked, and hybrid securities by Thai issuers
- M&A and JV/partnerships
- Banking and finance
- Regulatory advice, such as KYC, sanctions, AML, and antitrust
- Litigation and arbitration
Posit draws on over two decades of experience advising on complex structured cross-border transactions. He began his career in New York in 2004 before moving to Hong Kong in 2010 to build Latham’s structured equity and financing business and Thailand business in APAC. Posit advises clients across different product areas, geographical markets, and client types (both buy-side and sell-side). Given his broad and sophisticated practice, he serves as a strategic advisor to clients.
