PROFILE

Yingshi Pan is an associate in the Hong Kong office of Latham & Watkins and a member of the Corporate Department. Yingshi’s practice focuses on a broad range of corporate finance transactions including capital markets, mergers and acquisitions, direct investment activities in the PRC, and other general corporate matters.

Prior to joining Latham, she worked at a leading law firm in Singapore.

EXPERIENCE

Yingshi’s recent experience includes advising: 

  • The underwriters on the HK$1.014 billion initial public offering of shares on the Main Board of the Hong Kong Stock Exchange for JF SmartInvest (formerly JF Wealth), a leading online investment decision-making solution provider in China
  • HKBN on its US$1.3 billion acquisition of WTT Holding Corporation, a Hong Kong-based fixed telecommunication services operator
  • CICC, Haitong and other underwriters on the HKD1.92 billion H-share initial public offering of Shanghai Dazhong Public Utilities (Group) Co., Ltd. on the Main Board of the Hong Kong Stock Exchange
  • Fuyao Glass Industry Group Co., Ltd on its HKD7.39 billion initial public offering of H shares on the Hong Kong Stock Exchange; Fuyao Glass is an existing A share listed company on the Shanghai Stock Exchange, and the world’s second largest automobile glass manufacturer 
  • GF Securities Co., Ltd. on its initial public offering and listing of H shares on the Hong Kong Stock Exchange
  • New Century Asset Management Limited, the manager of New Century Real Estate Investment Trust (New Century REIT), which is the world’s first China-based hotel REIT and owns four five-star hotels in mainland China, on its initial public offering on the Hong Kong Stock Exchange and its acquisition of Songjiang New Century Grand Hotel Shanghai, a five-star hotel located in Shanghai, with the total transaction cost of approximately CNY747.7 million
  • Huishang Bank Corporation, the largest city commercial bank in Central China, on its initial public offering of 2.6 billion shares listed on the Hong Kong Stock Exchange 
  • The underwriters on PanAsialum Holdings’s initial public offering on the Hong Kong Stock Exchange
  • The underwriters on Beijing Jingneng Clean Energy Co., Limited’s initial public offering on the Hong Kong Stock Exchange
  • China Suntien Green Energy Corporation Limited, a leading clean energy company in Northern China with operations mainly in natural gas supply and generation of wind power, on its initial public offering on the Hong Kong Stock Exchange
