Adam Kestenbaum, Local Chair of the Tax Department in the Washington, D.C. office of Latham & Watkins, focuses on executive compensation and employee benefits matters. He advises on all types of compensation arrangements and benefit plans and in a variety of industries, with extensive experience working with oil and gas companies and master limited partnerships.
As a member of the Tax Department, Retirement Committee, and global Benefits, Compensation & Employment Practice, Adam works with public and private companies, private equity sponsors, and executives, with particular focus on:
- Compensation and benefits issues that arise in corporate mergers and acquisitions, initial public offerings, financings, spin-offs, and other corporate transactions
- Negotiating and drafting executive employment and separation agreements
- Designing incentive and equity-based compensation programs and deferred compensation plans
- Preparing executive compensation disclosures for proxy statements and other securities filings
- Counseling on tax, securities, ERISA, and corporate law issues as they relate to executive compensation and employee benefits arrangements
Adam was recently named a Rising Star by Law360, which recognizes “attorneys under 40 whose legal accomplishments transcend their age.”
Prior to joining Latham & Watkins, Adam served as a law clerk to then-Vice Chancellor, now Chief Justice Leo E. Strine, Jr. of the Delaware Court of Chancery and Delaware Supreme Court.
