PROFILE
David Siegel represents clients in a broad range of structured finance transactions, with a focus on digital infrastructure, emerging and up-and-coming asset classes, and other esoteric assets.
David draws on extensive experience to help banks and other financial institutions, issuers, borrowers, and sponsors navigate the securitization and other asset-based financing of primarily non-traditional assets, such as:
- Data centers, industrial distribution centers, fiber, cellular towers, broadcast towers, wireless site assets, and other infrastructure assets
- Short-term vacation rental properties, triple net properties, billboards, ground lease, easement assets, and other real estate assets
- Entertainment and sports contract rights, including royalty stream, production rights, and TV syndication rights
- NAV assets, including private equity and other illiquid or hard-to-value assets
- Aircraft, including enhanced equipment trust certificate (EETC) transactions, aircraft engines, and aircraft leases
- Automobile and automobile fleet leases
He works closely with all parties to develop innovative financing structures and solutions custom-crafted for the asset being securitized. David also represents asset managers, institutional investors, and others in financing transactions involving complex structured products, securitizations, and debt investment funds, as well as in a number of traditional ABS products.
A recognized thought leader in the structured finance arena, David participates in the Structured Finance Association’s SFVegas and IMN’s ABS East conferences and delivers CLE trainings on diligence and liability management in ABS transactions.
David maintains an active pro bono practice and has represented clients in asylum matters, Violence Against Women Act cases, name changes, and matters involving under-resourced small businesses.

Infrastructure
- Initial purchasers, structuring advisors, placement agents, and arrangers in data center revenue securitization transactions (including first-ever hyperscale data center securitization and first-ever enterprise data center securitization) and as arrangers and lenders in related variable funding note transactions
- Lenders, insurance accounts, and advisors in innovative and one-of-a-kind financings for build-to-suit and in-development data centers and mezzanine data center ABS financings
- Initial purchasers, structuring advisor, and arranger in industrial distribution center securitizations (including first-ever industrial distribution center securitization)
- Initial purchasers, structuring advisors, and arrangers in multiple tower-site revenue securitization programs, and in warehouse financings for similar assets
Easements and Other Real Estate
- Sponsor and borrower in short-term vacation rental financing facility
- Sponsors, issuers , and borrowers in multiple net lease property securitizations, and in warehouse financings for similar assets
- Sponsors, issuers, and investment banks in wireless site asset, billboard site, and renewable power generation revenue securitization programs and related term note issuances, and in warehouse financing for such assets
Aircraft
- A major airline in EETC financings and refinancings (registered, 144A/Reg S and private placement) of aircraft and aircraft engines with aggregate proceeds exceeding US$8 billion since 2012
- A private jet owner and operator in connection with first-ever private jet EETC financing
- An airline in pre-delivery payment financings, and follow-on upsize transactions
- Asset manager and institutional investors in initial investment in startup airline including financing for purchase of first aircraft in airline fleet
- Asset manager and institutional investors in structuring and financing of acquisition financing of aircraft and aircraft-equipment loan portfolio
