Vladimir Mikhailovsky advises issuers and underwriters in capital markets and finance transactions across the full spectrum of the capital structure.
Vladimir regularly advises both global and local clients — companies and banks — on a variety of capital markets and finance transactions, including:
- Debt and equity offerings
- Subordinated debt
- Bilateral and syndicated loans
- Liability management
- Debt restructurings
- Derivatives
He draws on extensive experience with a full complement of debt and financing products in multiple jurisdictions, as well as the familiarity with the relevant regulatory regimes, to execute complex, cross-border transactions.
EXPERIENCE
Vladimir’s representative experience includes advising:
- J.P. Morgan and Dragon Capital connection with a consent solicitation for the Eurobonds issued by Ukrainian Railways
- Samruk Kazyna, the Kazakhstan welfare fund, on its debut Eurobond offering pursuant to Regulation S/144A
- J.P. Morgan in connection with the issuance of bonds by MHP SE, an Ukrainian agriculture producer, and the tender offer for its outstanding bonds
- The joint lead managers on the debut offering of guaranteed notes by Silknet, a telecommunication company in Georgia
- Ukrlandfarming PLC in connection with the solicitation of consents relating to its outstanding bonds
- The arranger and lender of a secured facility in the amount of US$4.9 billion in connection with the take private offer for KAZ Minerals PLC
- The ad hoc committee of bank lenders in connection with the US$1.2 billion financial restructuring of Mriya, a major Ukrainian agricultural business
- The underwriters in connection with update of the global medium term program established by JSC NC KazMunayGas and a drawdown thereunder
- The joint lead managers in Ukreximbank’s issuance of fixed rate and subordinated loan participation notes
