Melissa Frankel Fabian represents private equity sponsors and borrowers in leveraged and other financing transactions.
Melissa helps clients navigate a broad spectrum of financing transactions involving:
- Syndicated loans and private credit financings
- Asset-based and cash-flow loans
- Acquisition financings
- Cross-border transactions
- Liability management transactions
She combines a drive for client service with extensive substantive knowledge to guide private equity sponsors, borrowers, and public companies through every step of a financing transaction and varying market conditions.
Melissa has served as a member of the firm’s Training & Career Enhancement Committee, developing and overseeing in-house training and mentoring programs for associates.

- Farfetch, a global technology platform for the luxury fashion industry, on a US$400 million term loan facility
- Light & Wonder on term loan and revolving credit facilities, including in connection with its acquisition of Bally Technologies
- Peloton Interactive, an interactive fitness provider, on a US$750 million term loan
- Axalta Coating Systems on its term loan and multicurrency revolving credit facilities

- Carlyle on financing its:
- US$4.2 billion acquisition of ManTech, a provider of technologies and solutions for national security programs
- Acquisition of StandardAero Aviation Holdings
- Odyssey Investment Partners on financing its acquisitions of ProPharma Group and The Planet Group
- Onex on the financing for its:
- Strategic investment in Analytics Partners
- Acquisition of Newport Healthcare, a provider of evidence-based healing centers for teens and young adults struggling with primate mental health issues
- Investment in Resource Environmental Solutions, an ecological restoration company

- The term loan, revolving credit and asset-based facilities to finance its acquisition of Oregon Tool, a global manufacturer and distributor of aftermarket-driven professional-grade cutting tools, outdoor equipment accessories, and parts
- Term loan and revolving credit facilities for United Site Services, a provider of portable restrooms, temporary fence, and related site services
- The financing for its investment into Nesco Holdings, a leading provider of specialized truck and heavy equipment solutions, as well as Nesco’s acquisition of Custom Truck One Source
