PROFILE
Diana Dizon is an associate in the Hong Kong office of Latham & Watkins and a member of the Corporate Department.
Diana advises on a broad range of cross-border corporate finance and securities transactions, including:
- Initial public offerings, follow-on transactions, and rights offerings
- Investment-grade and high-yield debt offerings
- Liability management transactions, including tender offers and consent solicitations
- Mergers and acquisitions, and joint ventures
Prior to joining Latham, Diana worked as an associate in a leading Philippine law firm for several years.
EXPERIENCE
Diana’s experience includes advising:
- SM Investments Corporation and SM Prime Holdings, Inc. on the establishment of their maiden US$3 billion medium term note and securities program and the subsequent drawdown of US$5 billion 5.375% Guaranteed Senior Unsecured Notes due 2029. This transaction was awarded Philippines Capital Markets Deal of the Year at the IFR Asia Awards 2024
- Merrill Lynch (Singapore) Pte. Ltd, as initial purchaser, on Nickel Industries’ issuance of US$400 million senior unsecured notes — the first high-yield transaction by an issuer in Southeast Asia in 2023
- Synergy Grid & Development Phils. Inc. on its PHP13.85 billion follow-on offering on the Philippine Stock Exchange (PSE)
- Robinsons Land Corporation, as sponsor, on RL Commercial REIT Inc.’s PHP21.5 billion IPO listed on the PSE
- The underwriters on Filinvest REIT Corp.’s PHP11.4 billion initial public offering listed on the PSE
- Converge Information and Communications Technology Solutions, Inc. on its PHP29 billion initial public offering listed on the Philippine Stock Exchange, which is the Philippines’ second biggest IPO
- The underwriters in AREIT ’ s PHP12.3 billion initial public offering of common shares and secondary offer of common shares listed on The Philippine Stock Exchange (PSE), the very first REIT listed on the PSE
- The underwriters in Petron Corporation’s issuance of US$550 million senior perpetual capital securities
