PROFILE
Lauren Bewley advises corporate, private equity and investment fund clients on a variety of US federal income tax matters, with particular focus on advising private investment fund clients on fund-related tax issues, including structuring and fund formation, upper tier arrangements, and operational issues.
Lauren regularly advises clients on tax aspects of private investment fund formation and operation including:
- Advising on the formation and operation of funds pursuing diverse investment strategies
- Advising regarding carried interest and co-investment arrangements
- Advising on tax aspects of fund secondary transactions, including GP-led secondary transactions, fund restructurings and portfolio sales
- Advising domestic and international investors in structuring and negotiating investments
Lauren also has extensive experience advising clients on a variety of capital markets and financing transactions, restructurings, corporate mergers and acquisitions, joint ventures, reorganizations, and financial products.
EXPERIENCE
Lauren’s experience includes advising:
- TJC, in its fundraise of The Resolute Fund VI with aggregate commitments in excess of US$3.1 billion
- BBB Industries, a manufacturing and distribution of replacement parts to the vehicle aftermarket, in connection with its sale to Clearlake Capital
- American Triple I in a US$4.2 billion joint venture transaction with JFK Millennium Partners to develop new international Terminal 6 anchoring JFK International Airport’s north side
- Acquisition by Genstar Capital Partners of Sonny's Enterprises, a company that manufactures and markets conveyorized carwash equipment, parts, and supplies
- Acquisition by Digital Realty of InterXion Holding, a Netherlands-based provider of carrier- and cloud-neutral colocation data center services
- Macquarie Infrastructure and Real Assets in connection with the sale of its interest in the parent company of Puget Sound Energy to a consortium of investors
- ReNew Power in the high yield co-issuance of senior secured notes containing a mix of both high yield and project bond-style covenants, a first in the Indian market
- Underwriters in connection with a Sukuk issuance used to finance a US real estate developer
- Softbank Group on the structuring and formation of the SoftBank Vision Fund, a technology focused investment fund with over US$93 billion of committed capital at the first closing*
