PROFILE

Ignacio Gómez-Sancha, Managing Partner of the Madrid office of Latham & Watkins, advises Spanish and multinational clients on their most complex cross-border transactions.

Ignacio leverages extensive experience advising on Spain’s largest corporate transactions, both in private practice and as in-house counsel, to help institutional investors, investment banks, private equity funds, and public companies navigate:

  • Equity capital markets, including private placements and initial public offerings (IPOs)
  • Public and private M&A
  • Private equity and takeover transactions

Ignacio served as the General Counsel of Bolsas y Mercados Españoles (BME), the Spanish stock exchange operator, and as a member of the Consultative Committee of the Comisión Nacional del Mercado de Valores, the Spanish Securities and Exchange Commission. He also represented Spain before the European Commission and Unidroit in several international conventions and drafting committees.

Ignacio now serves as Secretary of the Board of CFA Society Spain.

Private Equity and M&A

  • CVC on its €2 billion strategic investment in LaLiga to set in motion LaLiga Impulso, the project to boost the global growth of LaLiga and its clubs
  • Bolsas y Mercados Españoles (BME) on the all-cash voluntary friendly tender offer by SIX Group, the Swiss financial markets infrastructure operator, for €2.8 billion
  • Bain Capital Credit on its investment, alongside Alsea and Alia Capital Partners, in Alsea Europe, a leading European operator of restaurants and coffee shops 
  • KKR on the:
    • Sale of Papresa and Cementos Balboa   
    • Takeover and taking private of Telepizza 
  • The Carlyle Group on the mandatory public offering launched for 100% of the shares of Bodegas Bilbaínas, a well-known winery in La Rioja
  • Hyatt Hotels on a prospective takeover bid for NH Hoteles
  • Orange on acquiring Suma Operador de Telecomunicaciones, a mobile virtual network operator, by means of exercising a right of first refusal

  • Ecoener, a wind, hydro, and photovoltaic energy operator, on its €350 million IPO
  • Enerside on its €35 million IPO on the BME Growth market
  • BofA Securities, as underwriter, on offering Atlantica Sustainable Infrastructure’s ordinary shares for US$167.3 million
  • Solarpack, a Spanish multinational company specialized in developing photovoltaic systems for solar energy production, on listing its ordinary shares on the Bilbao, Madrid, Barcelona, and Valencia Stock exchanges
  • Spanish textile group Nextil on its rights issue

  • The ad hoc group of bondholders on the €920 billion restructuring of Naviera Armas’ balance sheet 
  • The committee of senior secured creditors of Swissport, a global aviation services group, on successfully completing its comprehensive financial restructuring
  • The committee of senior secured creditors on reorganizing and restructuring Deoleo’s €575 million debt
  • Aernnova, a major aerostructures company and portfolio company of TowerBrook Capital Partners, Peninsula Capital, and Torreal, on its €590 million covenant-lite refinancing
