PROFILE

Michael Magstadt is an associate in the Chicago office of Latham & Watkins.

Michael advises public and private companies and private equity sponsors and their portfolio companies in:

  • Public and private mergers and acquisitions
  • GP stakes, and asset manager acquisitions
  • Shareholder activism and takeover defense counseling
  • Corporate governance

Prior to joining Latham full-time, Michael was a summer associate in the firm’s Chicago office.

While attending the University of Michigan Law School, Michael was an online articles editor for the Michigan Journal Of International Law, served as president of the Michigan Law Veterans Society, and spent a semester working with the Michigan Law Veterans Legal Clinic. 

Before attending law school, Michael served in the US Coast Guard. 

Michael is a member of the US Military & Veterans Network and serves on the firm’s global Associates Committee. 

Michael maintains an active pro bono practice, which includes assisting U.S. veterans with discharge upgrades in collaboration with the National Veterans Legal Services Program.

  • Kohl’s in its strategic alternatives review process
  • Advanced Micro Devices in its US$1.9 billion acquisition of Pensando Systems Inc.
  • Chess.com in an equity investment by General Atlantic
  • Marti Technologies, Inc., a Turkish mobility provider, in a business combination with Galata Acquisition Corp., a special purpose acquisition company 
  • The Carlyle Group in an acquisition of Workforce Logiq, a portfolio company, by Pro Unlimited, a workforce management software provider

GP Stakes / Asset Management

  • Hunter Point Capital on its GP stakes transaction and strategic partnership with Pretium
  • Coinbase Inc. in its acquisition of One River Digital Asset Management, a digital asset manager

Activism Defense

  • Kohl’s in a multi-year defense, including its settlement agreement with Macellum Advisors, Ancora Holdings, Legion Partners Asset Management, and 4010 Capital, and a successful proxy contest leading to the re-election of all directors against a control slate proposed by Macellum Advisors
