PROFILE
Charlie Bowden is an associate in the London office of Latham & Watkins.
Charlie advises corporates, banks, asset managers, private equity funds, hedge funds, and lenders on all aspects of UK employment law in the context of global M&A activity. In addition to transactional work, he has a particular focus on advising clients in the financial services sector on both contentious and non-contentious employment law matters, including reduction-in-force exercises, restrictive covenants, investigations and disciplinary matters, and the employment law implications of the Senior Managers and Certification Regime (SMCR).
He also advises public and private companies across a range of sectors, including financial institutions, automotive, fintech, hospitality, gaming and leisure, pharmaceutical, and retail on the employment law aspects of complex carve-outs, divestments, outsourcings, financings, and restructurings.
Charlie maintains an active pro bono practice, supporting a range of charities with employment advisory assistance.
Charlie is a member of the Employment Lawyers Association.
Prior to joining Latham, Charlie practiced for more than five years in the employment team of a Magic Circle law firm in London.
EXPERIENCE
Charlie’s experience includes advising:
- Endeavor on the UK employment law aspects of the US$1.2 billion acquisition of a sports betting company
- A global social media company on complex cross-border employment issues arising on various global bolt-on acquisitions
- A private equity fund on the acquisition of a specialized hardware and software reseller and provider of managed services in the UK
- A global bank on the employment and regulatory aspects arising on entry into a JV structure
- A global bank on a highly sensitive investigation and disciplinary matter, in conjunction with Regulatory colleagues
- FCA solo-regulated firms with compliance with SMCR requirements; advising on key regulatory obligations including in relation to fitness and propriety and the Conduct Rules
- WPP on the employment aspects of the sale of a majority stake in its data analytics business, Kantar, to Bain Capital*
- Liberty Global plc on the employment aspects of its £31 billion joint venture with Telefónica, merging Virgin Media and O2*
- Pennon Group on the employment aspects of its £4.2 billion disposal of Viridor Waste Management to KKR, including in relation to transitional service and secondment arrangements*
- PAI partners on the dual acquisition of Addo Food Group and Winterbotham Derby*
