Sydney Verner is an associate in the Houston office of Latham & Watkins.

Sydney represents public and private companies in connection with corporate and transactional matters, including mergers, acquisitions, private financing transactions, joint ventures, corporate reorganizations, securities offerings, and general corporate matters.

EXPERIENCE

Sydney’s experience includes advising: 

  • Mercuria Investments US in its acquisition of HC2 Holdings' majority-owned clean energy subsidiary Beyond6 for approximately US$169 million*
  • DoublePoint Energy in connection with the sale of its leasehold interests and related assets to Pioneer Natural Resources for approximately US$6.4 billion*
  • Hartree Partners in its purchase of the general partner interest, incentive distribution rights, and all the limited partner interests held by Axel Johnson in Sprague Resources*
  • Plains All American Pipeline in a transaction with Oryx Midstream Holdings, a portfolio company of Stonepeak Infrastructure Partners, to merge their respective assets, operations, and commercial activities within the Permian Basin into a newly formed strategic joint venture*
  • Milestone Group, a real estate private equity firm, in its final closing of Milestone Real Estate Investors V (Fund V), with aggregate capital commitments of US$750 million*
  • Jagged Peak Energy in the negotiation of and entry into a definitive merger agreement with Parsley Energy, under which Parsley acquired Jagged Peak in an all-stock transaction valued at approximately US$2.27 billion*
  • Southwest Airlines in its application to and negotiation of agreements with the United States Department of the Treasury for payroll support funding of over US$7 billion in the aggregate under the Payroll Support Program (PSP) of the CARES Act and its successor programs, PSP2 and PSP3*
  • OneWater Marine in connection with its initial public offering of 5,307,693 shares of its Class A common stock at US$12 per share*
  • OneWater Marine and the selling stockholders in connection with the company’s underwritten public offering of 3,170,868 shares of its Class A common stock at US$20 per share*
  • The selling stockholders in connection with Pioneer Natural Resources Company’s secondary offering of 6 million shares of its common stock by Double Eagle
  • Energy Holdings III and Q-FPP (VII) Subsidiary, which are majority owned by funds managed by affiliates of Apollo Global Management and Quantum Energy Partners, respectively*
