PROFILE

Sam Hampton Sturgis is an associate in the Tax Department of Latham & Watkins’ Washington, D.C. office, where he advises clients on executive compensation and employee benefits matters.

Sam represents public and private companies, as well as private equity funds , on employee benefits and executive compensation matters relating to: 

  • Mergers and acquisitions, financings, initial public offerings (IPOs), spinoffs, restructurings, and other corporate transactions
  • Public company representation, including preparing executive compensation disclosures for proxy statements and other securities filings
  • The negotiation, design, and administration of various types of compensation arrangements for senior executives and other employees, including employment agreements, separation/severance agreements, change-in-control arrangements, equity incentive arrangements, deferred compensation programs, and other incentive-based arrangements

Sam is active in the firm’s pro bono program, representing domestic and international organizations seeking tax-exempt status in a variety of contexts.

Sam received his JD from Mississippi College School of Law and his Master of Laws in Taxation from the University of Florida Levin College of Law. While attending law school, Sam received 13 best-paper awards and served as the chief executive editor of the Mississippi College Law Review and a graduate editor of the Florida Tax Review.
