Latham & Watkins Advises Carlyle, Stellex, and Man GLG on the Sale of Officine Maccaferri to Ambienta

Cross-border, interdisciplinary team represents the sellers in the transaction.

Latham & Watkins has advised Carlyle Global Credit Investment Management, Stellex Capital Management, and credit funds managed by Man Group’s Man GLG on the sale of Officine Maccaferri S.p.A., a global leader in civil and environmental engineering, to Ambienta. The transaction is expected to close in Q2 2024.

Founded in 1879 and headquartered in Bologna, Italy, Officine Maccaferri is a global leader in sustainable engineering solutions, widely recognized for manufacturing a diverse range of environmentally friendly products for civil and urban infrastructure, transportation, environmental protection, as well as coastal and river control. The Company reported annual sales of over €600 million in 2023 and has a global footprint across more than 130 countries, with around 3,000 employees and more than 20 production sites worldwide.

The selling shareholder group acquired ownership of Officine Maccaferri following an auction for the equity in 2020 and has supported the Company as it has grown its suite of pioneering solutions, optimized its production footprint, and expanded into new end-markets.

Latham represented the sellers with a corporate team led by Stefano Sciolla and Giovanni Spedicato, with Nicholas Luraghi and Milena Raffaldi.
