Latham & Watkins Advises Underwriters in CNH Industrial Capital’s US$500 Million Note Offering
Latham & Watkins represented the underwriters in a public offering of US$500 million of 1.875% senior notes due 2026 by CNH Industrial Capital, a finance subsidiary of CNH Industrial. Organized in the Netherlands and headquartered in London, CNH Industrial is a leading global capital goods company with commercial presence in more than 180 countries worldwide. Its finance subsidiary’s primary business is to underwrite and manage financing products and to provide related financial products and services to support the sale of equipment sold by CNH Industrial’s North American operations.
Earlier this year, Latham also counseled the underwriters in CNH Industrial Capital’s offering of US$600 million of 1.95% three-year senior notes. Together with the current transaction, the offerings raised proceeds of US$1.1 billion for the company.
Latham & Watkins LLP represented the underwriters in the offering with a Chicago-based capital markets deal team led by partners Christopher Lueking and Roderick Branch, with counsel Manasi Bhattacharyya and associates Jonathan Sarna, Samantha Jackson, Greer Gaddie and Ryan Hudson. Tax advice was also provided by Chicago partner Joseph Kronsnoble and associate Christopher Ohlgart.
