Latham & Watkins Advises Celestial AI in US$175 Million Series C Funding

Celestial AI™, creator of the Photonic Fabric™ optical interconnect technology platform for memory and compute, has announced it raised US$175 million in its Series C funding round led by Thomas Tull’s U.S. Innovative Technology Fund (USIT). In addition to USIT, the round included participation from new and existing investors including AMD, Koch Disruptive Technologies (KDT), Temasek Emerging Technologies, Xora Innovation, IAG Capital Partners, Samsung Catalyst, Smart Global Holdings (SGH), Porsche SE, The Engine, M-Ventures, and Tyche Partners.

Latham & Watkins LLP represented Celestial AI in the financing with a corporate deal team led by Bay Area partner Jim Morrone, with associates Omar Ammash, Erica Kucharski, Lou Jeffers, and Mariah Levy. Advice was also provided on compensation and benefits matters by Bay Area partner James Metz; on tax matters by Bay Area partner Kirt Switzer, on antitrust matters by Washington, D.C. partner Patrick English; on IP matters by Bay Area partner Tony Klein, with associate Fiona Gillan; and on CFIUS matters by Washington, D.C. partner James Barker. This follows Latham’s representation of Celestial AI in its Series B in June 2023.
