Latham & Watkins Advises on Aramark’s €400 Million Private Offering of Senior Unsecured Notes
On March 3, 2025, Aramark announced the launch of a private offering of €400 million aggregate principal amount of senior unsecured notes due 2033 by its indirect wholly owned subsidiary, Aramark International Finance S.à r.l. (the Issuer). The offering of the Notes was made in a private transaction in reliance upon an exemption from the registration requirements of the Securities Act of 1933, only to investors who are reasonably believed to be qualified institutional buyers in accordance with Rule 144A under the Securities Act, or outside the United States in accordance with Regulation S under the Securities Act.
Latham & Watkins LLP represented the initial purchasers in the offering with a team led by partners Corey Wright and Erika Weinberg, with associates Sofia Sitterson and Gabriella Tang. Advice was also provided on tax matters by partner Rene de Vera, with associate Joe Marcus.
