Latham & Watkins Advises Graham Partners in Single Asset Continuation Fund for Gatekeeper Systems

Multidisciplinary team led by members of the firm’s Investment Funds and M&A Practices represented the private investment firm in the single-asset continuation fund transaction.

Graham Partners (Graham), a private investment firm targeting advanced manufacturing and technology-enabled solutions, has announced the sale of its holdings in Gatekeeper Systems, Inc. to a single-asset continuation fund managed by Graham and to Graham’s most recent flagship buyout fund. The continuation fund was anchored by lead investor HarbourVest Partners, with funding also provided by other syndicate investors and existing limited partners of Graham.

Latham & Watkins LLP served as both fund and deal counsel to Graham Partners in the transaction. The Investment Funds team was led by New York partner Edward Nelson, Chicago partner Matthew Wynne, and New York partner Oliver Prakash-Jenkins, with associates Michelle Aizin, Noah Morris, and Ben Zang; and the M&A team was led by New York partner Jane Greyf and New York counsel Jennifer Wong, with associate María del Pilar Villanueva.
