Latham & Watkins Advises on Metlen Energy & Metals’ €750 Million Green Bond Issuance

Latham & Watkins advised the initial purchasers on US law profiles in connection with the green bond offering of €750 million 4.00% senior notes due 2029 by Metlen Energy & Metals S.A. (formerly known as Mytilineos S.A.) (Metlen). Metlen used the proceeds of the bonds to redeem in full its existing US$500 million 2.50% senior notes due 2024 and intends to use the remaining proceeds for general corporate purposes and to pay fees and expenses related to the offering. An amount equivalent to the net proceeds of the offering will be used to finance or refinance eligible green projects in accordance with Metlen’s green finance framework.

The Latham team was led by partners Jeff Lawlis and Paolo Bernasconi with associates Chiara Coppotelli and Kayla McCoy.

The pool of banks was led by Citigroup Global Markets Europe AG (as billing and delivery bank and joint global coordinator), BNP PARIBAS and HSBC Continental Europe (as joint global coordinators), Alpha Bank S.A., BofA Securities Europe SA, Deutsche Bank Aktiengesellschaft, Eurobank S.A., Goldman Sachs Bank Europe SE, Morgan Stanley Europe SE, National Bank of Greece S.A., Nomura Financial Products Europe GmbH, Piraeus Bank S.A., and Société Générale (as joint bookrunners).
