Latham & Watkins Assists Entrust Corporation and Onfido, Inc. in Securing CFIUS Clearance
Entrust, a global leader in identification verification, secure payments, and data protection, received clearance from the Committee on Foreign Investment in the United States (CFIUS) in connection with its acquisition of Onfido, a UK-headquartered company that offers a suite of identity verification tools. CFIUS concluded that there were no unresolved national security issues with respect to the transaction and cleared the transaction. The parties closed on the transaction in April 2024.
Latham & Watkins LLP represented Entrust in the transaction and advised the purchaser and the company on the CFIUS clearance process. The CFIUS team was led by Washington, D.C. partner James Barker and counsel Catherine Hein, with associate Kristen Haight. The cross-border corporate deal team that advised on the M&A transaction was led by Bay Area partner Mark Bekheit and London partner Sam Newhouse, with associates Kit Adamson and Hadi Najem.
