Latham & Watkins Represents Vertex, Inc. in Financing for Acquisition of E-Invoicing Leader Pagero

Vertex, Inc. (NASDAQ: VERX), a global provider of indirect tax solutions, has announced that it commenced a public tender offer for 100% of the shares of Pagero Group AB (publ), a growth-oriented global SaaS company listed on the Nasdaq First North Growth Market. Vertex, Inc. intends to fund the transaction in part with proceeds from the issuance of US$500 million of convertible preferred stock and warrants to Silver Lake, the global leader in technology investing. The transaction is expected to close in the first quarter of 2024, subject to customary closing conditions.
