Latham & Watkins Represents Vertex, Inc. in Upsized US$300 Million Convertible Senior Notes Offering
Vertex, Inc. (NASDAQ: VERX), a leading global provider of indirect tax solutions, has announced the pricing of US$300 million aggregate principal amount of 0.750% convertible senior notes due 2029 in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933. The offering was upsized from the previously announced offering of US$250 million aggregate principal amount of notes. In connection with the offering, Vertex, Inc. granted the initial purchasers an option to purchase up to an additional US$45 million aggregate principal amount of notes. The sale is expected to close on April 26, 2024, subject to customary closing conditions.
