Carlos Diaz is an associate in the Houston office of Latham & Watkins.

Carlos represents domestic and international parties in the development of complex projects and transactions from inception through operation, including project development and construction, joint ventures, and investments. 

Carlos advises clients on a variety of transactions within the energy, energy transition, hydrogen, oil and gas, LNG, and power industries.

Carlos maintains an active pro bono practice, most recently representing a state agency involved in assisting developing countries to attract foreign investors and ignite their economies. 

Before joining Latham, Carlos was a senior associate in the energy, infrastructure, project finance, and asset finance of an international law firm.

Carlos’ experience includes advising: 

  • Representation of Chevron with the negotiation of a cross-border unitization project in West Africa* 
  • Invenergy and its project subsidiary Energia del Pacifico (EDP) in the development and project financing of the 378 MW liquefied natural gas (LNG)-to-power infrastructure in El Salvador, whose project components also include a marine terminal, FSRU, and a long-term LNG SPA*
  • Invenergy on a joint venture participating in DOE's H2Hub Program that will develop, support, and innovate and advance the safe production, distribution, and consumption of clean hydrogen in the US*
  • Novus International, Inc. with respect to analyzing key commercial agreements and advising Novus with respect to its production chain for the manufacture of animal feed supplements*
  • Representation of Aramco, one of the world's largest integrated energy and chemical companies, on its planned acquisition of 100 percent of Esmax Distribución SpA (Esmax), a leading diversified downstream fuels and lubricants retailer in Chile, from Southern Cross Group, a Latin America–focused private equity firm*
  • EIG on its acquisition of Ocyan Participações S.A. (Ocyan), a Brazil-based solutions provider to the offshore oil and gas industry*
  • Calpine in the preparation and negotiation of several project contracts, including the Engineering, Procurement, and Construction Agreement, the Equipment and Services Supply Agreement, and multiple Long-Term Services Agreements for a 680 MW battery storage facility in California that represents one of the largest stand-alone battery storage projects in the world*
  • Tallgrass Energy in the ongoing construction, development, and financing of a world-scale US multibillion dollar blue ammonia facility, including all licensing and construction matters*
  • Arroyo Energy Investment Partners on investment vehicle Inversiones Arco 4 SpA's acquisition of the shares of Gasmar S.A. and the related acquisition financing led by SMBC and BNP Paribas, as well as Gasmar's transition from an integrated gas business to a liquid fuels terminal company through establishing bankable terminal use agreements*
  • Alpha Capital S.A.S. and Vive Creditos Kusida S.A.S., leading payroll loan lenders in Colombia, on the bankruptcy mandated sale of their loan portfolios in Colombia to CFG Partners*
