Jeffrey Tochner is a partner in the New York office of Latham & Watkins. Jeffrey is a member of the firm's Corporate Department, where he focuses on intellectual property and technology matters. He is also the Chair of the New York office Data & Technology Transactions Practice as well as a member of the Trademark Litigation Practice.

Jeffrey is experienced in a wide variety of technology-related transactions including: outsourcing; joint ventures, strategic alliances, and research and development; technology transfers; equipment manufacturing and installation agreements; software licensing and distribution; co-branding agreements; and e-commerce, internet, and website agreements.

In addition, Jeffrey counsels clients regarding a wide variety of patent, copyright, and trademark issues, and provides intellectual property and technology advice in the context of mergers, acquisitions, and corporate financings.

Jeffrey served as a judicial clerk for Judge Emmett Ripley Cox, of the United States Court of Appeals, Eleventh Circuit.

Jeffrey's experience includes advising:

  • The Carlyle Group and Welsh, Caron, Anderson & Stowe in connection with the US$7.05 billion purchase of the Qwest Dex telephone directory business
  • The Carlyle Group in connection with its US$1.65 billion purchase of Hawaiian Telcom, the incumbent local exchange carrier in Hawaii, from Verizon
  • Spectrum Equity Investors in connection with its purchase of Classic Media, Inc. 
  • Microwarehouse, Inc. in a call center outsourcing agreement with TeleTech
  • Deloitte & Touche Tax Technologies in several software development outsourcing agreements
  • Party City, Inc. in a business process outsourcing deal with CGI
  • Dex Media, Inc. in connection with an Internet Master Services Agreement, an IT Collocation Services Agreement, ASP agreements relating to human resources management and treasury management applications and services, and a Transition Services Agreement relating to the provision of comprehensive IT services
  • Monster.com and Monstermoving.com in connection with numerous internet related agreements, including content provider, private portal, private label, advertising, and co-branding agreements
  • Masterfoods U.S.A  in connection with research and development, licensing, manufacturing, and DARPA agreements
  • General Cigar Co, Canadian Imperial Bank of Commerce, Adecco, SA, Lee Hecht Harrison, LLC, and Hawaiian Telcom, Inc. in connection with various trademark matters
