Jeremiah Wagner, Co-Chair of the Global Fund Finance Group, is a partner in the London office of Latham & Watkins and a member of the Structured Finance Practice.

He has extensive experience across a range of structured finance, securitization (cash flow and synthetic), derivative, and asset-based lending transactions involving a wide array of asset classes, including secured and unsecured consumer loans, corporate loans (including SME and middle-market), residential mortgage loans, commercial mortgage loans, credit card receivables, small and big ticket equipment leases, auto loans and leases, dealer floorplan loans, insurance products, trade receivables, and many different types of inventory.

Jeremiah represents clients (sponsors, originators, issuers, lenders, underwriters, and arrangers) in international capital markets transactions, including securitizations and other asset-backed US-registered public offerings, cross-border offerings, commercial paper programs, and private placements. He has also been involved in a number of tender offers for asset-backed securities in the United States and Europe. He also represents financial institutions and companies in asset-based lending transactions and other similar financings. His experience in this area targets inventory and receivables financing across a number of jurisdictions, including the United States and Europe.

Jeremiah also advises clients on a number of regulatory matters affecting the banking and securitizations industries. He is frequently involved with various association responses to regulatory matters, including capital requirements, accounting, rating agencies, liquidity requirements, and other similar matters

Jeremiah’s representative transactions include advising: 

  • An international investment bank in connection with an up to €300 million hybrid (capital call and asset backed) fund financing facility for a SMA managed for a sovereign wealth fund
  • Various UK SME lending platforms in connection with their accreditation under the UK government’s Coronavirus Business Interruption Loan Scheme (CBILS), Bounce Back Loan Scheme (BBLS), and Recovery Loan Scheme (RLS), and the implementation of associated funding programs for CBILS, BBLS, and RLS loans
  • European asset manager as equity investor in a €250 million warehouse facility financing German consumer loans originated by a German fintech lender
  • Stenn Assets UK, as issuer, on the establishment and refinancing of its trade receivables securitization platform. This deal was awarded Structured Finance and Securitization Deal of the Year at the IFLR Europe Awards 2020
  • A major UK bank as originator in respect of the private securitization of a portfolio of c. £2.1 billion of UK auto loans
  • J.P. Morgan, as arranger and placement agent, in relation to the international impact asset manager, responsibility Investments AG, US$175 million securitization of loans to microfinance and SME-finance institutions in emerging markets
  • 23 Capital, a capital and solutions company focused exclusively on the Sports, Music & Entertainment sectors, in connection with a securitization of football club secured loans
  • A US asset manager on a €231 million public securitization of Spanish NPLs
  • A confidential party on the commercial mortgage-backed securities (CMBS) financing for an international warehousing and logistics company in respect of its operating business comprising cold storage facilities located across the United Kingdom 
  • Barclays Bank PLC on its successful bid for a portfolio of buy to let and owner occupied mortgage loans and a rated securitization   
  • PCL on the first public securitization of insurance premium receivables in Europe. This transaction has been shortlisted for one of the most innovative securitizations by the FT in 2017*    
  • Funding Circle in relation to its partnership with Aegon to fund SME loans originated through its P2P platform in the UK*    
  • Deutsche Bank as arranger on the first publicly rated securitizations of SME (Funding Circle) and consumer (Zopa) loans originated through P2P lending platforms in Europe (shortlisted as one of the most innovative securitizations by the FT in 2016)*
