Jessica Cohen advises companies on the IP and IT protection of the most complex market transactions including licensing and development, distribution, and service agreements.

Jessica has vast experience guiding clients in the evaluation and bolstering of their IP holdings, data privacy practices, and commercial contracting practices (among others) in advance of a funding round or IPO.

Jessica also has a broad-based counseling practice, including with respect to privacy and cybersecurity matters.

An active member of her community, Jessica also served for many years as Chair of the Advisory Board for the Center for Family Life in Sunset Park, which is a neighborhood-based social services program aiming to empower the residents of Sunset Park in Brooklyn, New York.

Jessica’s experience prior to joining the firm includes advising:

  • Nasdaq, Inc. in numerous transactions, including the carve-out sale of its US fixed income electronic trading platform to Tradeweb
  • Zip Co Limited in its acquisition of Quadpay
  • Veritas Capital in numerous transactions, including its acquisition, together with Evergreen Coast Capital Corporation, of Cubic Corporation
  • The Middleby Corporation in its acquisition of numerous private companies, and in various arrangements for the licensing and development of commercial conventional and microwave oven technology, and commercial food preparation and preservation technology
  • Las Vegas Sands Corp. in its carve-out sale of its Las Vegas Venetian and Palazzo properties to Apollo Global Management and Vici Properties
  • Mars, Inc. in numerous transactions, including its acquisition of NomNomNow Inc.
