Jonathan Akinluyi is an associate in the London office of Latham & Watkins and a member of the Restructuring & Special Situations Practice.

Jonathan is experienced in representing clients in cross-border restructuring and insolvency-related matters with a focus on transactions involving schemes of arrangement, restructuring plans, company voluntary arrangements, security enforcements, pre-pack administrations, liquidations, out-of-court restructurings, and distressed M&A. 

Jonathan’s experience includes advising:

  • Farfetch, the e-commerce company focused on luxury clothing and beauty products, on the restructuring involving a UK pre-pack administration process
  • Babylon Healthcare, a digital health service provider, and the joint administrators, in relation to the sale of the Babylon group’s UK business through a UK pre-pack administration process
  • A group of senior lenders in relation to FläktGroup, the German-headquartered global manufacturer of indoor air technology and management systems, on the amendment and extension of its c. €390 million debt capital structure
  • Hong Kong Airlines on the holistic restructuring of its US$6.2 billion debts and liabilities, including its guarantee of the US$683 million perpetual securities issued by Blue Skyview. This restructuring involves the first ever parallel Hong Kong scheme of arrangement and UK restructuring plan
  • Astorg and Epiris on the acquisition financing obtained in respect of their £1.6 billion take-private acquisition of Euromoney, a leading financial news and information business
  • The anchor investors in relation to the c. €50 million new money financing and corresponding c. €500 million restructuring of Dümmen Orange, a Dutch-headquartered international plant and flower business
  • Borr Drilling Limited, an international offshore drilling contractor, in the amendment of US$1.5 billion of financing agreements with secured bank lenders and shipyards providing sellers finance, coinciding with a related US$30 million equity offering*
  • Danaos Corporation, a leading container shipping company based in Greece, in its debt refinancing, which reduced its US$2.2 billion of outstanding debt by US$551 million*
  • Brunswick Rail Limited, a railcar operating lessor in Russia, in connection with the restructuring through a consent solicitation process of US$600 million 6.50% guaranteed notes issued by one of its subsidiaries, and corresponding restructuring of intra-group liabilities*
  • Stephen Taylor, the conflicts administrator of Nortel Networks S.A., in relation to Nortel Networks S.A.’s entitlement to a portion of the US$7.3 billion sale proceeds held in escrow on behalf of the US, Canadian and EMEA Nortel Network estates following the group’s bankruptcy sale, and the settlement of the claims of Nortel Networks S.A.’s creditors through its English law administration and CVA proceedings*
  • SunEdison, Inc., a leading renewable energy business, in connection with its Chapter 11 filing and international reorganisation*
  • Roust Trading Limited in a US$550 million restructuring involving the exchange of two series of loan participation notes issued by Russian Standard Finance S.A., which were used to fund related loans to Russian Standard Bank, an indirect subsidiary of Roust Trading Limited, in favour of new notes issued by a new subsidiary*
  • TORM A/S, a shipping company in Denmark, in its US$1.4 billion financial restructuring via a scheme of arrangement*
