Nicholas DeNovio, former Global Chair of the International Tax Practice, advises multinational corporations on complex cross-border transactions.

Nicholas has spent most of his career at Latham and is a member of the Audit Committee and Client Intake Committee. He has served as Chair of the planning committees for the George Washington University/IRS International Tax Program and as Chair of the University of Chicago’s Federal Tax Conference. 

Nicholas is a well-known thought leader on cross-border M&A and international tax planning. He has written and presented for organizations including the Tax Executives Institute (TEI), Practicing Law Institute (PLI), International Fiscal Association (IFA), and National Foreign Trade Council (NFTC), as well as various bar associations. He also serves on the International Tax Journal’s editorial board. From 2002 - 2005, he served in Government, and in his role as IRS Deputy Chief Counsel, Nicholas supervised 600 lawyers in the IRS National Office.

  • Omnicom Group in multiple transactions, including:
    • Acquiring Flywheel Digital, Ascential’s digital commerce business
    • Selling SELLBYTEL, a Germany-based provider of outsourced customer relationship management services, to Webhelp
  • Boston Scientific, a medical device manufacturer, in multiple transactions, including:
    • Its US$1.07 billion acquisition of the surgical business of Lumenis, a company that develops and commercializes energy-based medical solutions, from Baring Private Equity Asia
    • Selling its intrauterine health product portfolio to Minerva Surgical
    • Acquiring Vertiflex, a developer of minimally invasive solutions to treat lumbar spinal stenosis
  • NVIDIA in multiple transactions, including acquiring:
    • Oski Technology, a formal verification service
    • DeepMap, a provider of high-definition maps for autonomous vehicles
  • Advanced Micro Devices (AMD) in its US$35 billion acquisition of Xilinx, a company that designs, develops, and markets complete programmable logic solutions
  • Viasat in its:
    • US$7.3 billion acquisition of Inmarsat, a UK-based operator of mobile telecommunications satellite networks
    • Acquisition of Rignet, a cybersecurity company

  • Actavis in its US$8.5 billion acquisition of Warner-Chilcott, an Ireland-based pharmaceutical company focusing on women’s healthcare
