Scott Herlihy retired from the partnership in December 2018. He was a partner in the Corporate Department of Latham & Watkins’ Washington, D.C. office. Scott has served as the Global Co-Chair of the firm’s Public Company Representation Practice.
Scott advised corporations on general corporate governance and complex corporate and securities matters, as well as on capital markets transactions and mergers and acquisitions. He regularly advised a variety of NYSE and Nasdaq companies across a broad spectrum of industries, including real estate, hospitality, mortgage finance, healthcare, and industrial manufacturing.
At the time of his retirement, Scott frequently lectured on corporate governance and developments in federal securities regulation. He served as a panelist on the topic of shareholder activism for the National Association of Corporate Directors and on the topic of cybersecurity for The Conference Board. Scott regularly contributed to firm thought leadership, including “Director Tenure: A Solution in Search of a Problem.” He is co-author of “Structuring and Implementing Spin-Offs,” The Corporate Analyst (August 1996). Scott previously served as an adjunct professor at Georgetown University Law Center on the topic of corporate governance.
He has been recognized by The Legal 500 US, Chambers Global, and Chambers USA as a national leader in Capital Markets work and has been recognized in the 2011-2014 editions of The International Who’s Who of Capital Markets Lawyers. Chambers USA 2014 cited specifically his “excellent SEC expertise and broad capital markets knowledge.”
Prior to joining Latham, Scott, a certified public accountant, was a litigation consultant and gained extensive experience investigating financial fraud.
