Shawn Anderson is a corporate partner in the London office of Latham & Watkins. He has significant experience representing private equity sponsors, issuers, and investment banks in complex and multi-jurisdictional transactions, including debt and equity offerings, acquisition financings, and liability management transactions, with a particular emphasis on issuances of high-yield debt securities. Shawn also regularly advises companies, including foreign private issuers, on securities law compliance and corporate governance issues, and in restructurings and private financings.

He is recognised as a Notable Practitioner by IFLR1000 2022 for Capital Markets: Debt.

Prior to attending law school, Shawn was a newspaper reporter and editor in Upstate New York.

  • A consortium led by Advent, Cinven, and RAG-Stiftung on the complex and multi-layered financing aspects of their acquisition of the elevator division of ThyssenKrupp AG, the largest private equity buyout in Europe in a decade at the time*
  • An ad hoc group of Matalan first-lien noteholders in connection with a new liquidity injection related to COVID-19, which resulted in a private placement of new super priority notes*
  • PizzaExpress, a portfolio company of Hony Capital, on its holistic recapitalization and restructuring, in particular structuring issues with respect to outstanding notes and new money financings*
  • Barclays, J.P. Morgan, and a consortium of over fifteen investment banks in multiple high-yield and investment grade bond offerings by Aker BP* 
  • Galapagos, a portfolio company of Triton, on its balance-sheet restructuring, in particular structuring issues with respect to outstanding notes and new money financings* 
  • Citigroup and J.P. Morgan in connection with a €1.1 billion bond offering to finance Bain Capital and Cinven’s public-to-private acquisition of shares in STADA Arzneimittel, a German pharmaceutical company
  • Goldman Sachs, HSBC, and J.P. Morgan in connection with a €1.1 billion bond offering to finance Advent International, Bain Capital, and Clessidra’s acquisition of Istituto Centrale delle Banche Popolari Italiane (ICBPI), an Italian payments banking group; awarded Europe High-Yield Bond of the Year by International Financing Review
  • J.P. Morgan, Deutsche Bank, and Goldman Sachs in connection with a US$16.6 billion multi-tranche bond offering to finance Altice and Numericable’s acquisition of SFR, a French mobile provider; awarded Global Finance Deal of the Year: Acquisition Finance at AMLaw Global Legal Awards
  • EQT and Auris Luxembourg in connection with financings related to their acquisition of Siemens Audiology Solutions (now Sivantos)
