Shawn Hansen advises debtors and creditors on a spectrum of complex restructuring related transactions.

Shawn guides companies, creditors, buyers, creditors’ committees, and other interested parties in all aspects of distressed situations, including:

  • Chapter 11 bankruptcy proceedings
  • Distressed asset acquisitions
  • Bankruptcy litigation matters
  • Out-of-court restructurings
  • General finance and corporate matters

He also advises companies on successful strategies to address mass tort and legacy liabilities, through in- and out-of-court solutions.

A recognized leader both within and outside the firm, Shawn serves on the Board of Governors of the Financial Lawyers Conference (FLC), regularly presents on key debtor issues in bankruptcy, and previously was a member of Latham’s Associates Committee.

Shawn’s experience includes advising:

  • Barretts Minerals, a minerals company, on its chapter 11 proceeding to manage its talc-related litigation liabilities, resulting in a successful section 363 sale
  • Pembina Pipeline Corporation, a leading energy transportation and midstream service provider, as joint-sponsor with Kinder Morgan in Ruby Pipeline's restructuring and bankruptcy case
  • Imerys Talc America, a mining company with North American talc operations that filed chapter 11, on managing its talc-related personal injury litigation and pursuing a section 524(g)/105(a) channeling injunction, resulting in a successful section 363 sale
  • Wood fiber processing company Rentech on its liquidating chapter 11 bankruptcy proceeding in Delaware
  • Eduardo Saverin on an action to enforce protections afforded to Mr. Saverin under the plan of liquidation in the Jumio bankruptcy case
  • Gizmodo Media Group on an action to enforce a sale order to bar the prosecution of state court actions against it in the Gawker Media bankruptcy case
  • Biotech company BIND Therapeutics on its chapter 11 bankruptcy proceeding in Delaware, including selling all of its assets
  • An ad hoc group of secured noteholders and debtor-in-possession lenders led by DDJ Capital Management in the Real Industry bankruptcy cases, including the acquisition by the noteholders of substantially all of the company’s assets (US$450 million)
  • A stalking horse bidder on acquiring a printing services provider via a section 363 sale
