Shira Mendelsohn advises on a variety of regulatory and corporate matters. She provides counsel to broker-dealers and public and private companies.

Shira’s practice includes:

  • Securities issuances, including initial and follow-on public offerings, private placements, mergers and acquisitions, and compensatory benefit plan issuances
  • Regulatory guidance for broker-dealers
  • FINRA Corporate Finance analysis
  • US stock exchange initial and continued listing requirements
  • State Blue Sky laws

Shira earned her JD from the University of Virginia School of Law, where she served on the editorial board of the Virginia Journal of Social Policy & the Law. While in law school, Shira worked with Reporters Committee for Freedom of the Press as a member of the First Amendment Clinic. She previously interned at the Commodity Futures Trading Commission. Shira was a summer associate in the New York office of Latham & Watkins prior to joining the firm full-time.

Shira’s experience includes representing:

  • KKR Capital Markets and other underwriters in BrightView Holdings’ secondary offering
  • The initial purchasers in Herbalife Nutrition’s US$250 million convertible senior note offering
  • The underwriters in Sovos Brands’ initial public offering and follow-on offering
  • The underwriters in Sweetgreen’s initial public offering
