Spencer Chatellier advises clients on complex corporate litigation, with a focus on securities litigation.

Spencer represents both public and private companies and their officers, directors, and special committees in connection with a broad range of litigation and white collar matters, including:

  • SEC and FINRA investigations
  • Other complex, high-exposure litigation

Spencer serves on the firm’s Pro Bono Committee and previously served on the firm’s Training & Career Enhancement (TACE) Committee.

Spencer also has an active pro bono practice and has successfully represented veterans in obtaining service-connected benefits, medical retirements, and discharge status upgrades before various military board.  He serves as the firm’s lead liaison to the National Veterans Legal Services Program (NVLSP).

While attending law school at the University of California, Los Angeles, Spencer clerked for the Inner City Law Center’s Homeless Veterans Project in Los Angeles.

Spencer's experience includes advising:

  • The Special Committee of Dell Technologies in a class action in the Delaware Court of Chancery in connection with the US$70.1 billion reverse merger with VMWare tracking stock  
  • A leading financial services provider in connection with investigations by multiple US regulatory bodies regarding the company’s compliance with the Bank Secrecy Act and other relevant laws
  • A natural resources company and its directors and officers in connection with alleged violations of Sections 11 and 15 of the Securities Act
  • A biopharmaceutical company in multiple state and federal jurisdictions in connection with alleged violations of Section 14 of the Securities Act
  • An international conglomerate in civil litigation involving claims under both California and federal law
  • Desktop Metal in connection with a motion to expedite breach of fiduciary duty claims against Desktop Metal and certain of its officers and directors in the Delaware Court of Chancery related to claims involving a shareholder rights plan
