Stephen Nasko is an associate in the Washington, D.C. office of Latham & Watkins and is a member of the firm’s Securities and M&A Litigation Practice.

Steve represents corporate clients, boards of directors, and individuals across a range of industries in state and federal court matters, including:

  • State and federal securities fraud class actions
  • de-SPAC litigation
  • Indemnification and advancement actions

Prior to joining Latham, Steve clerked for Chancellor Kathaleen McCormick on the Delaware Court of Chancery. Steve’s experience clerking and his former career at the Department of Justice provide a unique blend of expertise that enables him to deliver innovative solutions and adeptly handle multifaceted and complex legal challenges in Delaware and federal courts.

While in law school, Steve served as an editor of the Georgetown Law Journal and was a member of the Barristers’ Council (Appellate Advocacy Division).

Steve’s experience includes representing: 

  • Riverstone Holdings and certain former directors and officers of Alta Mesa Resources, Inc. in a securities class action and opt-out suit alleging securities and state law violations arising from a deSPAC transaction that was the first of its kind to go to trial
  • A private equity firm and a director of a fintech company in a breach of fiduciary duty claim in the Delaware Court of Chancery 
  • Joint real estate venture in connection with an acquisition of a land parcel and the development of a gigawatt scale data center campus in Maryland
  • A private equity firm and certain portfolio companies in a federal securities class action 
  • A web tracking and analytics company in a books and records enforcement action in the Delaware Court of Chancery
  • A national automotive company in the Delaware Court of Chancery and parallel securities class actions filed in Arizona federal and state courts
  • A defense contractor in pre-closing litigation related to a multi-billion dollar merger
  • A private equity firm and a director of a digital security company in litigation arising from a take private transaction in the Delaware Court of Chancery
  • A technology company and certain directors in connection with a deSPAC transaction in the Delaware Court of Chancery
  • An artificial intelligence company in connection with acquiring an identity verification and access control company
