Shelby Harrison is an associate in the San Diego office of Latham & Watkins and a member of the firm’s Corporate Department.

Ms. Harrison represents public and private companies in a wide variety of corporate matters, including public securities offerings, corporate governance, mergers and acquisitions, and securities law and stock exchange compliance matters. Ms. Harrison also advises investment banks on capital market offerings by public companies. She also co-authors the Annual Meeting Handbook, which is published annually and distributed nationwide.

Ms. Harrison graduated from UCLA School of Law, where she was elected to the Order of the Coif. She received five Masin Family Academic Excellence Awards. 

Prior to joining Latham, Ms. Harrison served as a judicial extern to Judge Thomas J. Whelan of the US District Court for the Southern District of California.

Ms. Harrison has advised on a broad range of corporate transactions, including initial public offerings, follow-on offerings, PIPE financings, and at-the-market offerings, as well as mergers and acquisitions and general public company representation matters.

Significant matters include representing:

  • Icosavax, Inc. in its initial public offerings, equity offerings, and US$1 billion sale to AstraZeneca
  • Topgolf Callaway Brands Corp. in its equity offerings and its acquisition of BigShots Golf 
  • Virgin Galactic Holdings, Inc. in its equity offerings
  • Erasca , Inc. in its initial public offerings and equity offerings
  • Gossamer Bio, Inc. in its equity offerings
  • Evoke Pharma, Inc. in its equity offerings
  • eFFECTOR Therapeutics, Inc. in its de-SPAC transaction and equity offerings
  • Crinetics Pharmaceuticals, Inc. in its equity offerings
