Michael Vardanian is a partner in the New York office of Latham & Watkins and a member of the Corporate Department. Michael has broad mergers and acquisitions experience, encompassing both public and private acquisitions, dispositions, co-investments, joint ventures, and general corporate matters.

Michael’s practice primarily focuses on representing private equity firms. His representative clients include Odyssey Investment Partners, Leonard Green & Partners, and Energy Capital Partners.

Michael has also represented US and non-US clients across a wide range of industries, including energy, retail, media, telecommunications, manufacturing, and technology.

  • Leonard Green & Partners in its acquisition of The Shade Store, an online retailer of custom window treatments
  • Leonard Green & Partners in its sale of Tourneau, the largest US-based luxury watch retailer
  • Odyssey Investment Partners in its acquisitions of the following companies:
    • Aramsco Holdings, a nationwide supplier of goods and services to contractors operating in the environmental safety, disaster response, surface preparation, and restoration markets
    • TrialCard, a provider of healthcare solutions to pharmaceutical companies, healthcare providers, pharmacies, and patients
    • Addison Group, a leading provider of temporary staffing and direct hire services
    • CPI International, a global manufacturer of electronic components and subsystems for communications and defense markets
    • Aero Precision Industries, a leading distributor of aerospace equipment and provider of aviation services
    • Testek Inc., one of the largest US manufacturers of aircraft testing equipment
  • Odyssey Investment Partners in its sale of EAG Laboratories, a provider of analytical and testing services to the agrochemical and pharmaceutical industries, to Eurofins Scientific for approximately US$780 million
  • Energy Capital Partners in its acquisition of Gopher Resource, a leading recycler of spent automotive, industrial, and stationary batteries
  • Energy Capital Partners in its joint acquisition with Dynegy Inc. of US power generating assets of Engie S.A. for approximately US$3.3 billion and the subsequent sale of its interest in the joint venture to Dynegy Inc. for US$375 million
  • Authentic Brands Group LLC in its acquisition of the Nautica brand from VF Corporation
  • Authentic Brands Group LLC in its acquisitions of numerous “celebrity” brands, including Shaquille O’Neal, Doctor J, Thalia, Greg Norman, and Neil Lane
  • Scripps Networks Interactive, Inc. in its acquisition of a controlling stake in TVN S.A., the largest TV network and media company in Poland for €584 million
  • Cision, a GTCR portfolio company focused on public relations and marketing software and solutions, in its acquisition of Gorkana Group, a UK-based media-monitoring company, for US$321 million
  • Leonard Green & Partners in its acquisition of Lucky Brand, Inc. from Kate Spade & Company for US$225 million
  • Authentic Brands Group LLC in its acquisition of Juicy Couture, Inc. from Kate Spade & Company for US$195 million
  • Wimm-Bill-Dann in connection with the company's and certain of its controlling shareholders sale of a 66% stake to PepsiCo, Inc. for approximately US$3.8 billion
