Patrick Leftley represents clients in public and private securitization and structured finance transactions. He is a partner in the Finance Department of the London office of Latham & Watkins and a member of the Structured Finance Practice.

Patrick represents banks, asset managers, and corporates on a wide range of public and private securitization and asset-backed financing structures. He handles transactions across a full spectrum of asset classes, including:

  • Residential and commercial mortgages
  • Consumer loans

  • Student loans
  • Auto finance
  • Trade receivables
  • Credit card receivables
  • Lease receivables

He draws on extensive experience, regularly advising on novel structures as well as some of the market’s largest securitization transactions. Patrick brings complementary knowledge of market practice and the shifting regulatory landscape affecting the securitization and structured finance industry to help clients protect their investments and scale their businesses.

Prior to joining Latham, Patrick was seconded to the treasury function of a captive auto-finance company and the structured derivatives desk at a major UK bank.

Patrick’s recent experience includes advising:

  • Various UK SME lending platforms in connection with their accreditation under the UK government’s Coronavirus Business Interruption Loan Scheme (CBILS), Bounce Back Loan Scheme (BBLS), and Recovery Loan Scheme (RLS), and the implementation of associated funding programs for CBILS, BBLS, and RLS loans
  • A major US bank as senior lender on a US$200 million warehouse facility financing international student loans originated by a fintech student loan provider
  • A European asset manager as equity investor in a €250 million warehouse facility financing German consumer loans originated by a German fintech lender
  • A major US bank as senior lender on a £50 million warehouse facility financing UK “buy now, pay later” loans originated by a fintech startup
  • A UK proptech estate agent in a £140 million forward-flow agreement to finance the origination of shared equity mortgages
  • A UK fintech startup on a warehouse facility to finance the origination of a portfolio of consumer hire receivables used to finance mobile phone handsets
  • A major UK bank as originator and servicer on the securitization of a c. £2.1 billion portfolio of UK auto loans
  • A major European bank as lender in a €585 million warehouse financing of Spanish consumer loans and credit card receivables
  • A US asset manager on a €231 million public securitization of Spanish NPLs
  • Arranger and joint lead managers on all recent publicly rated securitizations of loans to UK SMEs originated on the Funding Circle platform (including SBOLT 2021-1, 2019-1, and SBOLT 2019-2)
