Latham Advises on Trip.com’s US$1.5 Billion Convertible Senior Notes Offering
Latham & Watkins has advised the initial purchasers on Trip.com Group Limited’s (Trip.com) offering of US$1.5 billion in aggregate principal amount of convertible senior notes due 2029. The transaction represents the largest securities issuance and financing transaction in the global online travel agency industry to date in 2024.
Trip.com is a leading one-stop travel service provider of accommodation reservation, transportation ticketing, packaged tours, and corporate travel management. The company plans to use the net proceeds from the notes offering for repayment of existing financial indebtedness, expansion of its overseas business, and working capital needs.
Latham previously advised the underwriters on the secondary listing and US$1.07 billion initial public offering of Trip.com on the Main Board of The Stock Exchange of Hong Kong Limited (HKEX).
