Catherine Hill is an associate in the Tax Department of Latham & Watkins’ London office.

Catherine represents a broad range of corporates, individuals, and funds on their transactional tax matters and strategic tax planning.

She specializes in M&A and private equity transactions, and has extensive experience advising both sponsors and management teams on all elements of management incentivization and MIP resets.

In addition, she advises on international group reorganizations and restructurings, UK employment tax, real estate transactions and structuring, and UK and cross-border corporate finance transactions. Catherine is a Fellow of the Chartered Institute of Taxation and is a member of HMRC’s stamp taxes working group. 

Catherine's recent experience includes advising:

  • Patria Investments on its acquisition of the abrdn private equity solutions business from abrdn Inc. The platform manages US$7.8 billion in fee earning assets under management
  • Nordic Capital on its £2.25 billion sale of The Binding Site, a UK-based company involved in the research, development, and production of immunodiagnostic kits and reagents, to Thermo Fisher Scientific
  • Blackstone on its strategic investment in, and US$3 billion equity capital raise with, Resolution Life, a global life insurance group focusing on the acquisition and management of portfolios of life insurance policies
  • Patient Square Capital as lead investor on the US$226.5 million Series C financing round of Apollo Therapeutics
  • Urbaser, a world leader in environmental solutions owned by Platinum Equity, on the sale of its Nordic business to Cube Infrastructure Managers, a leading European midmarket infrastructure investor
  • Platinum Equity on the acquisition of premium rum blending specialist E&A Scheer, the largest global blender and vendor of premium rum in bulk, from The Riverside Company
  • EuroGroup Laminations, a world leader in the design, production, and distribution of the “motor core” (stators and rotors) for electric motors and generators, on its initial public offering on Euronext Milan. The landmark transaction represented the first listing in Italy to have an English language prospectus approved by the Italian Securities Commission
  • Catterton Partners on the sale of its controlling stake in Princess Yachts, a UK-based yacht manufacturer, to KPS Capital Partners
  • Amgen, Inc. on its acquisition of Teneobio, a clinical stage biotechnology company developing a class of biologics called Human Heavy-Chain Antibodies
  • Language Line Solutions, a subsidiary of Teleperformance, on its acquisition of Capita PLC's Capita Translation and Interpreting business

 

Pro Bono and Community

Catherine regularly advises Cancer Research UK and the Domestic Abuse Response Alliance on a pro bono basis.
