Krisa Benskin advises clients with respect to the design and implementation of executive compensation arrangements and the compensation and benefits aspects of transactions. 

Ms. Benskin advises clients on a variety of executive compensation matters, including employment and consulting agreements, golden parachute and severance arrangements, deferred compensation and other nonqualified plans, and equity-based compensation arrangements.

She regularly assists clients in understanding and managing the executive compensation, employee, and benefits plan aspects of mergers, acquisitions, and divestitures.

Ms. Benskin also has wide-ranging experience with the design and compliance aspects of retirement and health and welfare plans. She has guided clients through IRS and DOL audits and investigations related to qualified plans, Affordable Care Act compliance, and payroll taxes, among other issues.

Ms. Benskin’s representative experience includes:

  • Drafting and implementing management incentive plans following acquisition; advising on related tax issues
  • Advising corporate and executive clients with respect to golden parachute calculations under Section 280G 
  • Drafting an employee stock purchase plan and related participant communications
  • Advising large multinational client with respect to employee and benefit plan issues in the sale of a large division; drafting deal documents and employee agreements related to same
  • Drafting employment agreements, consulting agreements, and severance arrangements
  • Advising clients and drafting document provisions regarding Section 409A
  • Representing executives in negotiating and drafting employment agreements and employee benefit plans in the context of a corporate acquisition
  • Advising clients on proper withholding and reporting of employment and income taxes
  • Advising clients with respect to plan corrections under the IRS Employee Plans Compliance Resolution System (EPCRS); filing voluntary compliance program (VCP) submissions under EPCRS
  • Representing plan sponsor of welfare plan in ERISA litigation over benefits claims
