    Profile

    Pauline Gilli is an associate in the firm’s Litigation & Trial Department.

    She assists and represents companies, senior executives, and shareholders in complex pre-litigation and litigation situations, often in an international context. She acts before civil and commercial courts and is involved in settlement negotiations and alternative dispute resolution procedures, such as mediation and conciliation.

    Pauline has developed an expertise in corporate litigation, including shareholder disputes, disputes related to the departure of directors, wrongful termination of negotiations, issues arising between signing and closing, and post-acquisition disputes. She also handles commercial litigation, covering contractual disputes and tort liability, as well as stock market litigation.

    Pauline actively participates in various pro bono projects and in the firm’s management committees. Notably, she has served on the Recruitment Committee and the Training & Career Development Committee.

    Corporate Litigation

    • World-leading private investment companies and investment funds in various disputes related to the exercise of put and call options, the enforcement of shareholders' agreements, and exclusion clauses
    • World-leading private investment companies, investment funds, and their portfolio companies in various disputes concerning the removal of executives officers and the negotiation of exit agreements
    • An investment fund and its management company in a dispute over the payment of an earn-out following an LBO transaction
    • An investment fund and an international group specializing in healthcare equipment design and manufacturing, in a dispute with a former shareholder-manager and an employee over breaches of non-competition, non-solicitation, confidentiality, and loyalty obligations in both France and the United States
    • A buyer in a dispute over the termination of negotiations and the violation of an exclusive negotiation right granted during an acquisition process
    • A group specializing in the construction of prestige yachts and its shareholders in a lawsuit seeking to annul a sale initiated by former sellers
    • An asset management company and its director in litigation against former employee shareholders and in connection with requests for the annulment of shareholders' meetings
    • A listed industrial company in a dispute arising from the termination of a share purchase agreement by the buyer before the date of completion

    • A global insurance company in a mass action brought by policyholders
    • A company and its director in the fulfillment of a business contributor contract for a major scientific project supported by the French government
    • An American equipment manufacturer in a dispute over the performance of a defense equipment supply contract
    • A company specializing in cosmetic and pharmaceutical products in a dispute over the performance of a supply contract
    • An economic interest group (Groupement d’intérêt économique) in a compensation claim brought by a member who has been subject to exclusion proceedings

    Stock Market Litigation

    • An American private investment firm and an international pharmaceutical group in an appeal initiated by minority shareholders following the AMF's grant of an exemption from the obligation to file a public offer
    • A company in a lawsuit brought by a shareholder to have a liquidity contract declared null and void
