Warren Lilien is a partner in the New York office of Latham & Watkins and a member of the Finance Department. Warren represents financing sources and private equity sponsors in connection with all phases of the development, financing, acquisition, and disposition of energy and infrastructure assets, including wind, solar, geothermal, and natural gas-fired power plants, communication towers, data centers, and other digital infrastructure, pipelines, and other midstream assets, railways, toll roads, and airports.

Warren is recognized as a Recommended Lawyer in The Legal 500 US. He is listed as a recommended lawyer in Project Finance by Who’s Who Legal and is also listed as a leading lawyer by IFLR1000.   • Copenhagen Infrastructure Partners in the acquisition and financing of the 255 MW/1,020 MWh Scatter Wash standalone battery storage project in Phoenix, Arizona
  • Lenders with respect to the Empire Offshore Wind Project, a utility-scale offshore wind farm on the Outer Continental Shelf Offshore New York
  • The financing parties to Gigapower in connection with its construction financing for a wholesale out-of-region fiber-to-premises network across multiple states located in the US. This deal was named Digital Infrastructure Deal of the Year by IJGlobal and Digital Deal of the Year by PFI
  • The financing parties in a multi-currency project financing of a portfolio of data center facilities located in North America, South America, and Europe, developed and operated by Edgeconnex
  • Carlyle in its sale of Cogentrix, an independent power producer, to Quantum Capital
  • Terra-Gen in the debt and tax equity financing for Edward Sanborn Solar and Storage Project, which consists of 410 MWac of solar modules and 1,443 MWh of battery storage with over a dozen different off-takers near Edwards Air Force Base in California. It is the largest single solar and battery energy storage project to reach financial closing. This transaction was named the Americas Renewables Deal of the Year from PFI
  • Terra-Gen in the project financing in connection with multiple battery storage projects, including Sagebrush, a 610-MWh battery energy storage system located in California, and Valley Center, a 460-MWh battery energy storage system also located in California
  • Affiliates of Terra-Gen Power in the construction financing and ultimate divestiture of six separate phases of the Alta Wind Energy Center, located in Southern California. Each phase has a design output of approximately 150 MW, and the aggregate project debt exceeded US$2 billion
  • Tillman Infrastructure’s financing parties in connection with the development, construction, and acquisition of communication towers located in the United States. This transaction was named North American Telecom Deal of the Year by IJGlobal
  • Ares Capital (formerly AMP Capital) as lender in the holdco financing of several of Vertical Bridge’s telecommunications portfolios in the United States
  • The financing sources in concurrent US$1.1 billion bank and bond transactions for Tierra Mojada, a natural gas-fired combined-cycle power generation facility in Mexico that is owned and operated by a Blackstone Group affiliate. This transaction received the Infrastructure Financing of the Year award by LatinFinance
  • Arclight Capital in connection with the US$400 million financing of the Delta House Project, a semi-submersible floating production system, in the US Gulf of Mexico. This transaction was named the Offshore Deal of the Year by Marine Money Offshore
  • ArcLight Capital in connection with Leeward Renewable Energy, in the acquisition-related financing of a portfolio of interests in 18 wind generating projects. This transaction was named North America Renewables Project Finance Deal of the Year by Power Finance & Risk
  • ArcLight Capital in connection with the acquisition of and senior secured notes offering for Great River Hydro, LLC, a portfolio of 13 hydroelectric facilities totaling 976-MW
  • Arclight Capital Partners in its acquisition of a 6,750-megawatt fossil generating portfolio from Public Service Enterprise Group (PSEG)
  • JP Morgan Infrastructure Investment Fund in the financing for the acquisition of two local gas distribution companies covering Arkansas, Oklahoma, and parts of Bowie County, Texas
