Gregory T. Hannibal

Greg Hannibal is a partner in the New York office of Latham & Watkins, where he is a member of the Tax Department and Investment Funds Practice. His practice focuses on helping private fund sponsors structure, form, and operate their funds.

Greg has considerable experience advising on all tax aspects of private fund formation and operation including:

• Assisting fund sponsors in structuring, drafting, negotiating, and the ongoing operations of funds across a wide variety of asset classes and market sectors, including private equity, direct and secondary lending, real estate, and infrastructure
• Assisting fund sponsors in structuring and operating sponsor-level arrangements, including manager vehicles and carry plans with international components, participation by investors in sponsor entities and secondary transactions
• Representing domestic and international investors in structuring and negotiating private fund investments

Greg also maintains a sophisticated transactional practice involving domestic and international advisory and capital markets transactions. His experience includes:

• Advising on complex real estate transactions, including joint ventures, financings, and transactions involving non-US investments in US real estate
• Advising on strategic corporate matters, including mergers and acquisitions
• Advising issuers and lenders on lending and capital markets transactions

Greg provides counsel to a diverse client base, including private fund sponsors, major investment firms, sovereign wealth funds, and other institutional investors.

He is a member of the New York State Bar Association and the American Bar Association and speaks on topics related to private investment funds. He is also a member of the Private Investment Funds Tax Forum.
