Latham & Watkins Advises TotalEnergies in Trans-Atlantic Bond Financings
TotalEnergies, a global integrated energy company active in c.120 countries, has closed a US public offering of US$750 million of 4.724% Notes Due 2034, US$1 billion of 5.275% Notes Due 2054, and US$1.25 billion of 5.425% Notes Due 2064, in each case issued by TotalEnergies Capital and guaranteed by TotalEnergies SE.
TotalEnergies has also closed the update of its €40 billion Euro Medium Term Note (EMTN) program, permitting TotalEnergies SE and its subsidiaries TotalEnergies Capital and TotalEnergies Capital International to issue senior notes and deeply subordinated notes. The EMTN prospectus was registered with the French Autorité des Marchés Financiers.
For the US offering, TotalEnergies was advised by Latham & Watkins with a corporate team led by Paris partner Roberto Reyes Gaskin and Houston partners Ryan Lynch and Ryan Maierson, with Paris partner Thomas Vogel, supported by associates Kate Wang, Brian Bruzzo, and Madeleine Hahn de Bykhovetz.
